Terms of Service

Introduction

These Terms of Service (“Terms”) govern your access to and use of the spark*monitoring media intelligence dashboard platform (“Service”), operated by spark*advocacy (“we,” “us,” or “our”), a Canadian public affairs firm based in Ottawa, Ontario.

By accessing or using the Service, you (“you” or “Client”) agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

1. Description of the Service

spark*monitoring is a subscription-based SaaS media intelligence platform that provides:

  • Real-time monitoring of Canadian and international news sources.
  • Social media monitoring on platforms including X (Twitter) and LinkedIn.
  • Canadian federal government and legislative data monitoring.
  • AI-powered sentiment analysis and content summarization.
  • Customizable, branded dashboards with keyword-driven filtering.
  • Automated email digest reports.
  • Data export functionality (PDF and CSV formats).

2. Account registration and access

Access to the Service requires a user account created by our team during onboarding. You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account. You agree to notify us immediately of any unauthorized use.

Your subscription tier determines the number of authorized users. You may not share login credentials between individuals or exceed permitted user limits.

3. Subscription and payment

A one-time onboarding fee is charged at commencement. The Service is offered on a monthly subscription basis, billed in Canadian dollars (CAD). All fees are exclusive of applicable taxes (GST/HST). We may adjust pricing with 60 days' written notice.

Invoices not paid within 30 days of the due date may result in suspension of the Service.

4. Permitted use

Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes. You agree not to:

  • Share, resell, sublicense, or redistribute access to the Service.
  • Use the Service for unlawful surveillance, harassment, or defamation.
  • Attempt to access data belonging to other clients.
  • Reverse engineer, decompile, or disassemble any part of the Service.
  • Circumvent or interfere with any security features.
  • Use automated tools to extract data beyond provided export features.

5. Dashboard configuration and branding

Your dashboard may display your organization's branding alongside the spark*monitoring brand. Keyword configurations are set up by our team based on your requirements and can be adjusted by contacting us. The spark*monitoring branding will appear on all dashboards.

6. Intellectual property

The Service, including its software, design, features, and AI-powered analytics, is owned by spark*advocacy and protected by Canadian copyright and intellectual property laws. You retain ownership of content and materials you provide to us.

7. Data and privacy

Our collection, use, and disclosure of personal information is governed by our Privacy Policy. The Service operates on a multi-tenant architecture with logical data isolation — your data is not accessible to other clients.

Upon request, we will provide an export of your monitoring data in CSV format within 10 business days.

8. Term and termination

Your subscription continues on a month-to-month basis. You may cancel with at least 60 days' written notice. Upon termination, your data is retained for 90 days to allow for reactivation or export, after which it is permanently deleted. The onboarding fee is non-refundable.

9. Service availability and support

The Service is provided on an “as available” basis. We do not guarantee uninterrupted operation. The Service depends on third-party data sources outside our control. Support is available via email during standard business hours (Eastern Time, Monday through Friday).

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND. OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU IN THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

You acknowledge that the Service provides monitoring and intelligence tools to support decision-making but does not constitute professional advice.

11. Indemnification

You agree to indemnify and hold harmless spark*advocacy from any claims arising from your use of the Service in violation of these Terms, breach of any representation, or violation of applicable law.

12. Governing law and dispute resolution

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any dispute shall first be addressed through good-faith negotiation for 30 days, and if unresolved, submitted to the exclusive jurisdiction of the courts of Ontario in Ottawa.

13. General provisions

These Terms, together with our Privacy Policy, constitute the entire agreement. We may update these Terms with at least 30 days' notice. If any provision is unenforceable, the remaining provisions continue in full force. Neither party is liable for events beyond reasonable control (force majeure).
